Terms of Service

1. Who we are

Pay Thirteen is a service of Solution Thirteen LLC, 7901 4th Street N, Ste 22667, St. Petersburg, FL 33702, USA ("Pay Thirteen", "we", "us"). These Terms apply between us and every person or company that uses Pay Thirteen as a member ("you").

2. What Pay Thirteen does

2.1 Pay Thirteen acts as a service company between you and your client. Your client orders the service from Pay Thirteen. Pay Thirteen invoices the client in its own name and collects the payment.

2.2 You perform the service for Pay Thirteen as an independent contractor. Pay Thirteen pays you the amount received from the client for that project, minus our fees ("payout").

2.3 You are not an employee, partner or agent of Pay Thirteen. You are responsible for performing the service as agreed.

3. Pay-when-paid

3.1 We pay you out only after the client's payment has been received by us and approved by our team.

3.2 If the client does not pay, pays only partly or reverses the payment, there is no claim to a payout, or only to the part actually received and kept. We send payment reminders but are not obliged to take legal action against the client.

3.3 If a payment is reversed, refunded or charged back after you were paid out, we may deduct the amount from your balance or future payouts or ask you to repay it.

4. Eligibility and verification

4.1 You must be at least 18 years old and legally able to enter into contracts.

4.2 You must complete our identity verification and, if you act for a company, provide company documents. We may request further information at any time.

4.3 We may refuse an application or close an account without giving reasons, in particular for legal, regulatory or risk reasons.

5. Your obligations

You confirm that:

  • all information you provide is true and complete, and you keep it up to date;
  • every project you submit is a real service you actually perform;
  • you do not use Pay Thirteen for illegal activities, money laundering, terrorist financing, sanctions evasion or fraud;
  • you are responsible for your own taxes, registrations and permits in all countries where they apply.

6. Prohibited businesses

Pay Thirteen may not be used for: gambling and betting; adult content and services; weapons, ammunition and explosives; drugs and controlled substances; crypto trading, exchange or investment services; financial, investment or legal advice without the required licence; pyramid or multi-level schemes; services to or for persons or countries under sanctions; any activity that is illegal in the client's or your country. We may update this list.

7. Review of projects and payments

Every project and every incoming payment is reviewed by our team before a payout. We may hold, reject or return a payment and request information if a project or payment appears unusual, incomplete or risky, or if the law requires it.

8. Wallet, payouts and partners

8.1 Payment processing, wallets and currency conversion are provided by licensed third-party partners. Their terms may apply in addition and will be shown to you where required.

8.2 Payouts can be made to your Pay Thirteen wallet in USDC, to a bank account in EUR or USD, or in USDC to your own crypto wallet. You are responsible for entering correct payout details. Payouts sent to details you provided cannot always be recovered.

8.3 USDC is a digital asset issued by a third party. It is not a bank deposit and is not covered by deposit insurance. Its value is designed to track the US dollar but this is not guaranteed by us.

8.4 Pay Thirteen is not a bank.

9. Card

The Pay Thirteen card is not yet available. Once it is, it will be issued by a licensed partner under its own terms. A reservation does not create a claim to a card. Card fees (for example transaction, currency conversion or ATM fees) are not included in the invoice fee and will be published before the card is available.

10. Fees

10.1 The fees shown on our website at the time of your sign-up apply: a one-time setup fee, a monthly plan fee, a fee per paid invoice and fees for certain payouts.

10.2 Founding members keep their monthly plan price for as long as their account remains active without interruption.

10.3 We may change fees for the future with at least 30 days' notice by email. You may close your account before the change takes effect.

10.4 Monthly fees are payable in advance and may be deducted from your balance or payouts. Paid fees are not refunded, except where required by law.

11. Your clients

You may not contact your client to bypass Pay Thirteen for a project already booked through us, or ask the client to pay you directly for it.

12. Referral program

12.1 Members may invite new members using their personal referral link. Each link is tied to the email address the referring member used to join the waitlist.

12.2 Referrals are matched by email address. The referring member and the referred member must each use the same email address for their Pay Thirteen account as for the waitlist. We cannot match referrals made with a different email address.

12.3 A referral reward of $25 is earned once the referred member's clients have paid at least $300 in invoices (EUR payments are converted to USD at the rate applied to the payment) through Pay Thirteen and these payments have been approved by our team. The reward is credited to the referring member's Pay Thirteen balance 30 days after the qualifying payment and after review by our team.

12.4 Self-referrals, referrals between related persons or companies, and referrals where both members use the same payout account do not qualify.

12.5 We may withhold or reverse rewards in case of abuse, chargebacks or a breach of these Terms, and may change or end the referral program for the future. Rewards already credited remain unaffected unless they were obtained through abuse.

13. Liability

13.1 We are liable without limitation for intent and gross negligence.

13.2 Otherwise, to the extent permitted by law, our total liability is limited to the fees you paid to us in the 12 months before the event giving rise to the claim. We are not liable for indirect damages, lost profits or for the acts and omissions of our partners, banks or your clients.

13.3 Mandatory consumer protection rights remain unaffected.

14. Termination

14.1 You may close your account at any time. Your remaining balance is paid out to an account or wallet of your choice, after any open reviews are completed.

14.2 We may close your account with 30 days' notice, or immediately for good cause, in particular breach of these Terms or legal requirements.

15. Changes to these Terms

We may change these Terms with at least 30 days' notice by email. If you continue to use Pay Thirteen after the change takes effect, the new Terms apply. You may close your account before that.

16. Governing law and jurisdiction

These Terms are governed by the laws of the State of Florida, USA, excluding the UN Convention on Contracts for the International Sale of Goods. Exclusive place of jurisdiction is Pinellas County, Florida, USA, to the extent permitted by law. Mandatory consumer protection rights in the consumer's country of habitual residence remain unaffected.

17. Language

These Terms are written in English. Translations are for information only. The English version prevails.
