LLC Service Terms

1. Scope

These LLC Service Terms apply to LLC formation, LLC takeover and the ongoing support of your LLC by Pay Thirteen, a brand of Solution Thirteen LLC (Florida, USA). For invoicing, payouts and fees through Pay Thirteen, our Terms of Service apply: /legal/terms

2. LLC formation (from $499)

  • Formation of your US LLC in Florida or Wyoming
  • All state formation documents and state formation fees
  • Operating Agreement based on our standard (see section 5)
  • Registered Agent including business address
  • Application for the EIN

Formation starts after the formation fee is paid. You can use Pay Thirteen before that.

3. LLC takeover (from $199)

For existing LLCs you bring to us from another provider:

  • Change of Registered Agent to our Registered Agent partner
  • Review of your existing documents and previous filings
  • Filing of missing Form 5472 and 1120 (pro forma) for one prior year
  • New Operating Agreement based on our standard

You must give us all existing documents and complete information about prior years. Penalties set by authorities for previously missed deadlines are not included.

If filings are missing for more than one prior year or additional work is needed (for example clean-up, reinstatement, change of state), we give you a separate quote in advance.

4. Ongoing LLC support ($99 / month)

As long as your plan is active, we take care of:

  • Registered Agent including business address
  • Annual report including state fee (Florida: due by May 1; Wyoming: due every year on the first day of your LLC's anniversary month (the month it was formed))
  • Preparation and filing of Form 5472 and Form 1120 (pro forma), after your approval. Prepared and signed by Björn Skamrahl as paid preparer with his PTIN. You sign the return as the owner.
  • Yearly questionnaire in the app for the information needed for 5472/1120
  • Reminders of all deadlines in the app
  • Storage of all LLC documents in the app (formation documents, EIN confirmation, Operating Agreement, filings)
  • Pay Thirteen, and the Pay Thirteen card once available

Support is provided exclusively through the in-app chat. Calls can be booked in the app when needed. Email to support@paythirteen.com is only for cancellations or if you cannot access the app.

Prices for formation and takeover are starting prices. You get your exact price before you order, depending on your case. No setup fee applies to Pay Thirteen with these plans; the fee per paid invoice and all other fees follow our Terms of Service.

5. Operating Agreement and classification

We usually form a member-managed LLC. The members run the LLC themselves.

Many European tax authorities classify an LLC based on its Operating Agreement as either a partnership or a corporation (in Germany: Rechtstypenvergleich). Management, liability, profit distribution and transferability of shares are decisive.

Our Operating Agreement is designed so that the classification is not fixed from the start. Once your situation (residence, activity, goals) is clear, the Operating Agreement sets which type fits you.

6. Payments to yourself

  • Declare payouts from your LLC to yourself neutrally as a distribution (owner's draw), not as salary, wages or an invoice to your own LLC.
  • Use a clear reference, for example "Distribution Member".
  • Keep private and business accounts strictly separate.

7. Important reporting obligations of your LLC

Form 5472 & Form 1120 (pro forma): yearly report to the IRS on transactions between your LLC and you as a foreign owner. Due April 15, with extension October 15. Missing filings can lead to high penalties. We file once you have completed the questionnaire and approved the return.

FBAR: Required if your LLC has accounts outside the USA whose combined value exceeded $10,000 at any time during the year.

BOI: Not required for LLCs formed in the USA. FinCEN made this exemption permanent with its final rule of August 2026.

Tax classification, simplified: a single-member LLC is usually a disregarded entity in the USA. Without a US trade or business, no US income taxes apply. Taxation takes place in the owner's country of tax residence. How your LLC is taxed in your country of residence depends on your situation.

8. Term and cancellation

  • All plans run monthly with no minimum term.
  • You can cancel at any time effective at the end of the current month, in the app or by email to support@paythirteen.com.
  • One-time fees (formation, takeover) are not refunded.

What cancellation means for your LLC:

  • We file the annual report only if your plan is active on the due date.
  • We file Form 5472 and 1120 only if your plan is active until filing, April 15 at the latest.
  • When your plan ends, the Registered Agent service through our partner ends too. You then need to appoint a new Registered Agent yourself and take care of the annual report and reporting obligations.
  • Your LLC remains yours. You can download all documents in the app before the end of the contract.

9. Your cooperation

  • Complete and correct information about identity, address and beneficial owners (KYC in the app)
  • Timely answers to questions, questionnaires and approvals
  • Information about changes (address, owners, activity, US connection)

Delays or missed deadlines caused by missing cooperation are not our responsibility.

10. Documents and retention

Your master data, LLC documents, contracts and filings are available in your app. We keep all documents for at least 5 years, also after the end of our cooperation.

11. Liability

  • We work carefully and to the best of our knowledge based on your information.
  • You make decisions on structure and tax filings yourself. We explain the context and show options.
  • We are not liable for decisions and delays of authorities, banks, card partners and other third parties.
  • To the extent permitted by law, our liability is limited to the fees of the last 12 months.
  • Solution Thirteen LLC holds professional liability insurance with Hiscox for its tax preparation services.

12. Privacy, law and language

Our Privacy Policy applies: /legal/privacy. These terms are governed by the laws of the State of Florida, USA. They are written in English; translations are for information only and the English version prevails.
